1. Agreement to Terms

By accessing our website or engaging TempoTech for engineering services, you agree to comply with these Terms of Service. If you disagree with any segment of these provisions, you are prohibited from utilizing our service offerings.

2. Engineering Services

TempoTech provides technical infrastructure and communication setups, specifically:

• Web Development — Production-grade static and dynamic web systems.
• WhatsApp Marketing & Bots — Core API routing and automated marketing systems.
• Custom AI Agents — Custom business integrations with defined database boundaries.
• Voice Agents — Low-latency automated telephone systems and scheduling interfaces.

3. Client Responsibilities

Clients engaging TempoTech must:

• Supply valid technical requirements, system access parameters, and business specifications.
• Maintain compliance with the terms of Meta, API providers, and governing communication acts.
• Ensure proper opt-in protocols are active before utilizing messaging and voice pipelines.
• Maintain the privacy and security of database access keys and passwords assigned to their systems.

4. Third-Party Platform Compliance

All messaging configurations run via Meta's WhatsApp Business Platform. Clients are solely responsible for obtaining and hosting their WhatsApp Business accounts, maintaining templates under Meta policies, and handling opt-outs. We accept no liability for account locks or suspensions originating from client compliance failures.

5. Invoicing & Engagement

Specific project cost structures are outlined in individual Statements of Work. General engagement rules include:

• 50% upfront payment required to allocate engineering resources.
• Remaining balance due immediately upon milestone sign-off and transfer.
• Recurring operations or hosting retainers are invoiced at the start of the billing period.
• Deposits are non-refundable once architectural setup has commenced.

6. Intellectual Property

Upon final invoice settlement, ownership of client-specific layouts, database schemas, and integration code transfers to the client. TempoTech retains the rights to general software frameworks, tooling libraries, and base system architectures developed during the project.

7. Limitation of Liability

TempoTech does not assume liability for operational downtime, financial losses, or system outages caused by third-party platform API changes, host server failures, or third-party logic changes beyond our immediate control.

8. Governing Law

These terms and any active statements of work are governed by the laws of India. Any litigation arising from these terms will be settled exclusively within the courts of Tamil Nadu, India.
